This course covers the Corporate Transparency Act from the point of view of practicing lawyers. We will cover both basic terms, such as the definitions of Reporting Company, Beneficial Owner and Substantial Control and will apply FinCEN’s Final Rule on Reporting to specific examples. Attendees will learn how to apply FinCEN’s Final Rule on Beneficial Ownership to a variety of common deal structures to determine who is a beneficial owner in those hypotheticals.
