The COVID-19 pandemic threatens both the publics health and the health of the economy, causing record unemployment and seismic dislocations in many business sectors and industries. The pandemic has hit small businesses especially hard and a it remains unclear exactly how long the economic downturn will last. For many business people and their attorneys, this may be their first experience navigating a recession but in any event, since it has been quite a while since the last downturn, it is important to review. This program will explore what businesses should think about if they are facing financial distress and what they can do to mitigate these issues (including a discussion of the newly enacted small business bankruptcy law). We will also explore what to think about if a companys counterparties are facing financial distress. Finally, we will discuss how the economic downturn also provides opportunities for companies to acquire assets at discounted prices through non-traditional or distressed M&A-type transactions.
