“Boilerplate” generally refers to the catchall standard clauses that typically appear at the end of a contract. These provisions are often pulled from templates and not given much consideration. They can have significant impact on a party’s rights in the event of a dispute over the contract. 

This presentation will delve into common clauses such as choice of law, forum selection, dispute resolution, liquidated damages, and more. Ms. Bell will discuss issues with these clauses, both front end considerations when drafting and on the back end if faced with enforcement of these clauses in the event of a dispute.
