Litigation risk insurance solutions can be important tools in any litigator or transactional lawyer’s toolkit, yet the solutions available in this relatively new and rapidly evolving marketplace are still unknown to most attorneys and are therefore woefully underutilized by their clients. For example, defense-side adverse judgment insurance – which protects defendants in pending litigation, or parties that may become defendants in threatened or potential future litigation, against the risk of a significant or catastrophic adverse judgment – can facilitate M&A transactions by eliminating or reducing escrow or indemnity requirements relating to litigation against target companies; release funds from litigation reserves or escrows held over from consummated M&A transactions; allay concerns of potential investors and/or existing shareholders about the threat posed by a given litigation; and restore a company’s stock price that has been depressed by public litigation, among myriad other uses. And plaintiff-side judgment preservation insurance can protect plaintiffs that have won significant lower court judgments against the risk of reversal or damage award reduction in post-trial motion practice and on appeal and can also be used by plaintiffs (and their contingent fee counsel) to receive an advance on judgment proceeds while post-trial and/or appellate challenges remain pending. In this presentation, Aon’s Stephen Kyriacou, Jr. – a former Boies, Schiller & Flexner litigator – will go through the mechanics and applications of these insurance solutions and give attorneys the information that they need to advise their clients about the risk transfer options that may be available to them when they have won a significant judgment, or where pending, threatened, or potential future litigation against them is interfering with one or more of their business objectives.
