Intellectual Property represents more value in mergers and acquisitions than at any other point in our past. This value cannot be taken for granted. Careful planning and execution, both pre- and post- deal, are essential to success in capturing the value of IP in M&A transactions and often to the success of the transactions themselves. Join Jason Haislmaier as he presents strategies and practices for identifying and capturing the value of IP in M&A transactions, including:
• Identifying (and obtaining) the information pre-deal that you will need post-deal
• Moving beyond diligence "checklists" to the questions that really matter to the deal
• Building the right team, pre-deal . . . and post-deal
• Matching reps and warranties to the deal structure and deal value
• Assessing licenses and other issues with shared IP
• Preserving the value of IP assets during (and after) the deal
• Integrating purchased IP assets with existing IP portfolios
• Protecting IP assets when the deal goes bad
